Tameh Terms of Use

1. Introduction

Welcome to Tameh (the “Website”). By accessing or using this Website, you agree to be bound

by these Terms of Use, as well as our Privacy Policy and any other applicable policies or

guidelines. If you do not agree with any of these terms, please refrain from using the Website

immediately. The Website is operated by Tameh (“Tameh”, “we”, or “us”), a company duly

incorporated under the laws of the Arab Republic of Egypt (in accordance with Egyptian

Companies Law No. 159 of 1981). Our principal office is located in Cairo, Egypt. We reserve the

right to modify or amend these Terms of Use, the content on our site, or any features of our services

at any time for reasons such as legal compliance, security needs, or to reflect updates to our

platform. Changes will become effective immediately upon being posted on the Website, and your

continued use of the Website after changes are posted constitutes your acceptance of the revised

Terms. We encourage you to review these Terms periodically to stay informed of any updates.

2. Account Registration and User Responsibilities

To use the Tameh platform’s features (such as investing in fractional real estate), you must create

an account. When registering, you agree to provide accurate, current, and complete information

about yourself, including your name, email address, and any other required details. You will be

asked to create a unique username and password, and you may be required to upload a copy of

your national ID for identity verification purposes. Additional information may be requested

depending on whether you are registering as an individual investor or as a seller listing a property.

For example, to comply with Anti–Money Laundering (AML) laws and Know-Your-Customer

(KYC) requirements, we may ask for proof of identity and proof of address (or similar

documentation for company directors, partners, or authorized representatives if you register on

behalf of a business). Approval of account registrations (including the right to invest or list

properties) is at Tameh’s sole discretion.

Account Security

Your account login credentials (username and password) are personal to you

and must not be shared or transferred to any other person. You are fully responsible for all activities

that occur under your account. Accordingly, you must maintain the confidentiality of your

username and password and use appropriate security measures to prevent unauthorized access. If

you suspect that your login credentials have been disclosed, lost, stolen, or compromised in any

way, you must notify us immediately at ………………………………… so that we can take

appropriate security measures. You agree not to sell, transfer, or allow any third party to use your

account. If you authorize an employee, agent, or subcontractor to use your account (which we

generally discourage), you understand that you are responsible for their actions on the Website.

We reserve the right to suspend or refuse to execute any instructions on your account if we suspect

the account is being used by someone who is not you, or if we suspect any fraudulent, illegal, or

unauthorized use of the account.

By registering an account, you represent and warrant that all information you provide to us is

truthful, accurate, and up-to-date, and you agree to update such information as needed to keep it

accurate. Please refer to our Privacy Policy for details on how we handle the personal data you

provide.

3. Eligibility

The services offered on Tameh are intended only for users who are at least 18 years old. By using

the Website, you confirm that you are 18 years of age or older, which is the age of legal majority

for entering into binding agreements under Egyptian law. We do not permit use of the platform by

minors. By accessing or using the Website, you also affirm that you have the legal capacity to enter

into a contract and are not barred from doing so by any laws (including any applicable sanctions

or court orders). You further represent that you have the necessary experience and understanding

of the risks to use this real estate investment platform and to be bound by these Terms.

During registration (and periodically thereafter), you may need to provide additional details and

documentation to verify your identity or eligibility. This can include personal or corporate

documents, identification numbers, proof of address, and any information needed to satisfy

regulatory requirements such as AML/KYC checks. We comply with our obligations under

applicable law by collecting this information, and we appreciate your cooperation in providing

accurate documentation. If at any point we discover that you are under 18 or otherwise ineligible,

we reserve the right to suspend or terminate your account immediately.

4. Limitation of Liability and Indemnity

By using our website, you expressly acknowledge and agree that you do so at your own risk. Tameh

and its affiliates, officers, employees, agents, partners, suppliers, and licensors shall not be liable

for any damages or losses arising out of or in connection with your use of the Website, except to

the extent such liability cannot be lawfully excluded. In particular, and to the fullest extent

permitted by law, Tameh will not be liable for any of the following:

Errors or Service Interruptions

Any inaccuracy, error, omission, interruption, delay, or

technical issue on the Website, regardless of cause, and any damages resulting from such

issues. We do not guarantee that the Website will be available at all times or free from

errors (see also Section 10 on Availability).

Decisions You Make

Any decisions made or actions taken (or not taken) by you in

reliance on the information or content provided on our website. You are solely responsible

for your investment and other decisions; the content on our site is provided for general

information only and is not intended as individualized advice.

Indirect or Consequential Damages

Any indirect, incidental, consequential, special,

punitive, exemplary, or similar damages, including but not limited to lost profits, lost data,

business interruption, or loss of goodwill, even if we have been advised of the possibility

of such damages. This limitation applies regardless of the legal theory (contract, tort,

statute, etc.) and even if a remedy fails of its essential purpose.

Content Usage or Viruses

Any loss or injury resulting from your use of any content

obtained through the Website, or from any damage caused by viruses or other

technologically harmful material that may infect your devices due to your use of our site

or downloading of content from our site or from websites linked to it. We take reasonable

precautions against malware, but we cannot guarantee the site is free of such harmful

elements.

Uncontrollable Events

Any loss or damage that is beyond our reasonable control,

including but not limited to acts of God, war, terrorism, civil unrest, natural disasters,

interruptions in utility or communications services, or actions of third parties (collectively,

“Force Majeure” events).

Nothing in these Terms of Use is intended to exclude or limit any liability which cannot be

excluded or limited under applicable law, including (for example) liability for death or personal

injury directly caused by our gross negligence or willful misconduct, or liability for our fraud or

fraudulent misrepresentation. All otherwise permissible exclusions and limitations shall apply to

the maximum extent allowed under Egyptian law.

You agree to indemnify and hold Tameh harmless from and against any and all losses, damages,

liabilities, claims, judgments, costs, and expenses (including reasonable attorneys’ fees) that we

incur arising out of or in connection with: (a) your use of the Website; (b) your breach or violation

of these Terms of Use; or (c) your violation of any applicable law or regulation or of any rights of

another person or entity. This means that if a third party makes a claim against Tameh due to your

conduct, content, or usage of our platform, you will defend and reimburse us for our losses. In

particular, if you use our site in an unlawful, unauthorized, or malicious manner, you agree to

indemnify us for any resulting harm, including harm to other users or third parties, to the fullest

extent permitted by law.

5. User Conduct and Prohibited Activities

You agree to use the Tameh platform only for lawful purposes and in accordance with these Terms.

You are strictly prohibited from engaging in any behavior that is illegal, infringes on others’ rights,

or interferes with the proper operation of our website. Without limitation, you agree that you will

NOT do any of the following while using Tameh or any services or content provided on the

platform:

Violate Laws or Regulations

Use the Website in any manner that violates any applicable

law or regulation, whether local, national, or international. This includes, but is not limited

to, securities laws, anti-money laundering laws, consumer protection laws, data protection

laws, and any regulations issued by Egypt’s Financial Regulatory Authority (if applicable)

or other authorities.

Unlawful or Fraudulent Purpose

Use the Website for any unlawful, fraudulent, or

malicious purpose, or engage in any activity that exploits or harms (or attempts to harm)

minors or any other person in any way. You may not use Tameh to perpetrate fraud, identity

theft, money laundering, or any other crime.

Inappropriate Content

Upload, post, transmit, or otherwise make available any content

that does not comply with our content standards and policies. In particular, you must not

provide or share any content through the Website that is false, misleading, or fraudulent, or

content that is likely to cause confusion or deceive others. You also agree not to post or

distribute any content that is unlawful, defamatory, libelous, harassing or hateful toward a

group (including based on religion, gender, sexual orientation, race, ethnicity, age, or

disability), invasive of another’s privacy, offensive or objectionable (including profanity

or pornography), obscene or indecent, or that infringes any person’s intellectual property

or other rights.

Spam and Unsolicited Communications

Transmit or facilitate the sending of any

unsolicited or unauthorized advertising or promotional material (such as junk mail, chain

letters, spam, or pyramid schemes). The use of the platform for commercial advertisements

or solicitations without our prior written consent is strictly prohibited.

Harmful Code

Knowingly upload or transmit any data, file, or software that contains

viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware, or any

other harmful or malicious code designed to adversely affect the operation of any computer

software, hardware, or telecommunications equipment. You must not attempt to infect the

Website or users’ devices, or otherwise compromise the security or integrity of the

platform.

Disruption of Services

Take any action that could damage, disable, overburden, or impair

our servers or the networks connected to our servers. This includes any form of denial-of-

service attack, interference with the normal functioning of the Website, or making

excessive requests that impose an unreasonable load on our infrastructure.

Interference with Others

Interfere with or disrupt any other user’s ability to use and

enjoy the Website, or engage in any conduct that restricts or inhibits anyone else from using

the platform in accordance with these Terms. You also agree not to harass, stalk, or harm

another person using our service.

Unauthorized Access

Attempt to gain unauthorized access to any portion or feature of the

Website, any other accounts, computer systems, or networks connected to the Website, or

to any of the services or data offered on or through the Website, by hacking, password

“mining” or any other illegitimate means. Likewise, you must not probe, scan, or test the

vulnerability of the Website or any network connected to it, nor breach the security or

authentication measures on the Website.

Automated Use/Scraping

Use any automated means or processes (including robots,

spiders, scrapers, or any other data-mining tools) to access, query, or copy the Website or

its content without our prior written permission. The caching of the Website in a browser

or the automated indexing by search engines is permitted as it’s incidental to ordinary web

use, but any systematic or commercial use of bots or scripts on our site is forbidden.

Impersonation and False Information

Impersonate any person or entity (including a

Tameh representative or another user), or falsely state or misrepresent your affiliation with

any person or entity. You must not use someone else’s identity, account, or personal data

on the platform without authorization. Additionally, providing false, misleading, or

incomplete information during registration or in your communications with us is

prohibited.

Other Unacceptable Conduct

Engage in any other conduct that we, in our sole

discretion, consider contrary to the spirit of the platform or that could damage our

reputation or goodwill. This includes attempting to bypass or circumvent any security

features or content filtering tools we may use, or encouraging or assisting any third party

in doing any of the activities prohibited by these Terms.

If you engage in any of the above prohibited behaviors (or any other behavior that we deem

inappropriate or unlawful), we may take any enforcement action that we consider appropriate. This

may include removing or modifying any offending content, issuing warnings, suspending or

terminating your account (see Section 8), and/or reporting you to law enforcement or regulatory

authorities if your conduct violates the law. You acknowledge that we have the right to fully

cooperate with law enforcement and other authorities in investigating suspected illegal activity on

the platform.

6. Fees and Charges

Use of the Tameh platform for real estate investments may be subject to certain fees and charges.

By using the platform and engaging in transactions, you agree to pay all applicable fees and

charges, which will be clearly disclosed to you before you complete any investment or transaction.

The types of fees and charges that may apply include (but are not limited to) the following:

Investment Entry Fees

We may charge a one-time fee when you make an investment

(buy a fractional share of a property) on our platform. This fee covers the processing of

your transaction and onboarding to the investment. The amount of any entry fee will be

disclosed upfront before you confirm your investment payment.

Transaction Fees

Certain transactions, such as buying or selling your fractional

ownership units on a secondary market (if such feature is available), might incur

transaction fees. Any such fee, and the circumstances in which it applies, will be

communicated to you prior to executing the transaction.

Brokerage or Commission Fees

We may charge a commission on real estate share

transactions facilitated through our platform. For example, if you purchase or sell a

fractional share, a commission (either a percentage of the transaction value or a flat fee)

may be applied to the transaction. The specific rate or amount will be disclosed to you in

advance.

Penalty Charges

If certain conditions or obligations are not met, penalty fees may apply.

For instance

(a) If you attempt to cancel or return your investment share within a specified

minimum holding period, a penalty or early exit fee may be charged; (b) If you are paying

for an investment in installments and you delay or default on a scheduled payment, a late

payment fee or penalty may be imposed. Any such penalties, including the amounts and

conditions triggering them, will be clearly outlined (for example, in the specific property

offering terms or payment schedule).

Management Fees

We (or the property managing entity) may charge ongoing

management fees related to your investment. These fees cover the costs of managing the

property asset (e.g., property management, maintenance, administration of rental income,

etc.) and are typically calculated as a percentage of your investment’s value or as otherwise

described in the offering. If a management fee applies, it will be disclosed either in the

property’s details or the investment agreement.

Currency Conversion Fees

If you deposit or invest funds in a currency different from the

currency in which the investment is denominated (e.g., investing with USD while the

platform operates in EGP), a currency conversion fee or exchange rate spread may apply.

This fee compensates for the cost of converting currencies and will either be built into the

exchange rate offered or stated explicitly at the time of transaction.

Taxes

You are responsible for any taxes, duties, governmental fees, or other similar

charges that may be imposed on your investments or transactions by any taxing authority.

For example, if there are stamp duties, withholding taxes on dividends/rental income, or

capital gains taxes on sale of your share, those are your responsibility (though we may

facilitate collection or reporting as required by law). We will comply with any tax

withholding or reporting obligations as required by Egyptian law, but ultimate liability for

taxes on your earnings or transactions rests with you.

Future Services or Features

We reserve the right to introduce new services or features

on the platform that may come with additional fees or charges. Whenever we introduce a

new fee or change an existing fee, we will provide clear notice to users. Any new fees will

not retroactively affect transactions that have already been completed; they will apply

prospectively to new transactions or uses after the effective date of the change.

Review of Fees

All current fees and charges will be made available to you (either via a schedule

of fees on our website or during the transaction flow). Please carefully review all fees and charges

before confirming any transaction or investment. By proceeding with a transaction, you indicate

your agreement to the fees associated with it. We may update our fees from time to time, and we

will notify users of any fee changes in advance (for example, via the Website, email, or in-app

notification). If you continue to use the platform or maintain investments after a fee change, that

will constitute acceptance of the new fees. If you do not agree to any updated fees, you may

discontinue use of the affected service or close your account before the changes take effect.

7. Intellectual Property Rights

All content, features, and materials available on the Tameh.co Website – including but not limited

to text, logos, graphics, photographs, images, illustrations, video clips, audio clips, software, code,

design, and overall look-and-feel of the site – are protected by intellectual property laws and are

owned by or licensed to Tameh. We respect intellectual property rights and expect our users to do

the same. The following terms outline our and your rights regarding intellectual property on the

platform:

Copyright

The Website and its original content are subject to copyright protection under

Egyptian and international copyright laws. Tameh (or its content suppliers, where

applicable) owns the copyright in all original content and compilations on the site. This

means that without our prior written permission, you may not copy, reproduce, distribute,

publicly display, publicly perform, publish, upload, transmit, modify, create derivative

works from, or otherwise exploit any content from our site, except as allowed under these

Terms or by law (such as fair use or other exceptions). You may, of course, browse the site

Trademarks

All trademarks, service marks, and trade names displayed on the Website are

the property of Tameh or their respective owners. This includes the Tameh name and logo,

as well as any other branding or logos displayed on the platform. The Tameh name and

logo are protected by trademark law. You are not permitted to use any trademarks found on

the site (such as the Tameh logo or name) without the prior written consent of Tameh.

Unauthorized use of our trademarks, including in metatags or advertising, is strictly

prohibited.

Patents

If any proprietary technologies, features, or processes used in the Tameh platform

are patented or the subject of patent applications, those are the exclusive property of Tameh

(or its licensors). You are not granted any license to use or exploit any of our patented

technology. Any attempt to reverse engineer, reproduce, or use our patented innovations

without authorization is prohibited.

Trade Secrets and Confidential Information

The platform may embody certain trade

secrets or confidential information of Tameh, such as algorithms, formulas, business

processes, or other non-public know-how. You agree not to access or attempt to discover

any such trade secrets. Any unauthorized attempt to obtain or use Tameh’s confidential

business information (for example, by scraping data not publicly provided, or by violating

access restrictions) is prohibited.

Design and Look-and-Feel

The design, layout, user interface, and user experience

(UI/UX) of the Tameh Website are protected by intellectual property and unfair

competition laws. This includes color combinations, button shapes, page layouts, and all

graphical elements that constitute the distinctive “look” of our platform. You agree not to

copy or imitate the design or look-and-feel of our website for any purpose, for example by

creating a confusingly similar website or service.

Domain Name

The domain name Tameh.co is owned by Tameh. You may not use or

register a domain name that includes the word “Tameh” or any confusingly similar term,

as this could violate our trademark rights and cause confusion about official affiliation. We

reserve the right to pursue appropriate action against instances of domain squatting or

misuse.

Limited License to Use Website

Subject to your compliance with these Terms, Tameh

grants you a limited, non-exclusive, non-transferable, revocable license to access and use

the Website and its content for your personal, non-commercial use only. This license does

not give you any ownership of the content or intellectual property on our site, and it does

not permit you to sublicense or assign any rights in the content. Except for this limited

usage license, all rights, title, and interest in the Website and its content remain with Tameh

and/or its licensors.

User-Generated Content License

materials) – collectively, “User-Generated Content” – then by submitting such content you

grant Tameh a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use,

perform, and display your User-Generated Content (in whole or in part) via any media now

known or developed in the future. This license is necessary for us to operate the platform

(for example, to display your reviews or comments to other users). You represent and

warrant that you own or have obtained all necessary rights and permissions to the User-

Generated Content you provide and that our use of such content under this license will not

infringe or violate the rights of any third party. You remain solely responsible for the

content you submit, and you agree not to submit anything that violates the “User Conduct”

other feedback about our platform or services (collectively, “Feedback”), you acknowledge

that such Feedback is not confidential and that we are free to use it without any restriction

or compensation to you. All Feedback is given entirely voluntarily, and by providing

Feedback you are granting us a perpetual, irrevocable license to use the Feedback in any

way we see fit, including to improve our services or create new features.

Ownership and Reservation of Rights

Except for the limited user license granted above,

all intellectual property rights in and to the Website and its content are expressly reserved.

8. Termination and Suspension

Suspension of Access

Tameh may, at its discretion and without prior notice, temporarily suspend

reasons. Suspension might occur, for example, if we need to investigate suspicious activity on your

account, if you fail to respond to verification requests, or if maintenance is being performed on the

platform. We are not liable for any losses or inconvenience you may suffer due to the suspension

of your account in such circumstances.

Termination by Tameh

We reserve the right to terminate your account or access to the Website

at any time, with or without cause, and with or without prior notice. This means that we can decide

to permanently disable your account if, for example, you materially breach these Terms, or if we

cease offering the services, or for any other reason at our sole discretion. In most cases, we will

provide notice of termination (e.g., via email to your registered address), but we are not obligated

to do so if we determine immediate termination is warranted.

Termination by You

You have the right to terminate your account with Tameh at any time if you

no longer wish to use our services. You may do so by giving us notice (for instance, by contacting

support at …………………………. and requesting account deletion) and discontinuing use of the

Website. Keep in mind that terminating your account will not automatically sell or liquidate any

investments you hold through the platform – you are responsible for managing or divesting your

fractional ownership positions according to the processes available (and any underlying contracts)

before or after account termination.

Effect of Termination

Upon any termination of your account by you or us, your right to access

and use the Website will immediately cease. You will lose access to any areas of the site that require

login, including your investment dashboard or account information. Any content or data associated

with your account (including your profile information, preferences, etc.) may be deleted or made

inaccessible, except to the extent we are required or permitted to retain certain data for legal or

compliance reasons. All licenses and rights granted to you in these Terms (for example, the limited

right to use the site content) will immediately end. If your account is terminated (by you or by us),

you must stop using the Website and any of our content. Any provisions of these Terms that by

their nature should survive termination (such as ownership provisions, warranty disclaimers,

indemnities, limitations of liability, dispute resolution clauses) will continue in effect after your

Financial Regulatory Authority, if relevant) in any investigation of illegal activity on the platform,

and we may provide any evidence or information we have (consistent with our Privacy Policy and

applicable law).

No Liability for Termination

You agree that Tameh shall not be liable to you for any termination

or suspension of your account or access to the Website, including for any destruction of

information associated with your account. You acknowledge that your investments on the platform

are subject to separate agreements and ownership records, and termination of your online account

will not deprive you of any ownership rights in real estate shares you have already purchased.

However, after termination, you may need to contact us directly to manage or withdraw any

remaining investments, since platform tools may no longer be available.
